Welcome to Cyblink. These Terms of Use ("Terms") govern your access to and use of the Cyblink platform available at cyblink.ai (the "Platform"), operated by Cyblink Ltd. ("Cyblink," "we," "us," or "our"). By using the Platform, you agree to these Terms.

1. User Roles

Cyblink supports two primary user types:

  • Customers – organizations seeking to address cyber-risk issues via vetted third-party providers.
  • Vendors – independent providers offering cybersecurity and/or compliance solutions and services.

2. Account Registration

Customers must create an account to access services. In the initial phase, Vendors may be matched without a full Platform profile; over time, Vendors may be invited to onboard and manage their profiles directly.

3. Platform Use & Restrictions

You agree to use the Platform only for lawful purposes. You may not:

  • reverse-engineer, copy, or distribute our software or services;
  • scrape, crawl, or mine data from the Platform;
  • resell access or services without our written consent; or
  • misrepresent your identity, affiliation, or role.

4. Payments

Subscriptions and payments are processed by Paddle, our third-party payment processor. Your use of paid features is subject to Paddle's terms.

5. Termination

We may suspend or terminate access, with or without notice, for reasons including violation of these Terms, suspected fraud, or prolonged inactivity.

6. Intellectual Property

All Platform content, trademarks, and technologies are owned by Cyblink or its licensors. No rights are granted except the limited right to use the Platform in accordance with these Terms.

7. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state or federal courts located in Delaware.

8. Scope of Services; Marketplace Nature

The Platform facilitates discovery, scoping, and matching between Customers and independent Vendors of cybersecurity products and services. Unless expressly agreed in a separate written contract, Cyblink does not provide the underlying cybersecurity services and does not control, supervise, employ, endorse, or guarantee any Vendor, proposal, deliverable, or outcome. Any engagement (including SOWs, orders, or contracts) is solely between Customer and Vendor.

9. No Brokerage; No Party to Transactions

Cyblink is not a broker, agent, insurer, or guarantor of either party. We do not negotiate or conclude agreements on behalf of Customers or Vendors and are not responsible for performance, pricing, invoicing, collections, deliverables, acceptance, or any disputes between the parties.

10. Best-Effort Only; Cybersecurity Disclaimer

Cyber threats evolve continuously. The Platform, matches, and any guidance are provided on a best-effort basis. No listing, introduction, or service described via the Platform can guarantee that a Customer's systems will be fully secure, free of vulnerabilities, or immune to future attacks, or that every potential weakness will be detected or reported.

11. Customer Responsibilities

Customers are solely responsible for:

  • design, deployment, configuration, maintenance, patching, monitoring, and remediation of their IT/OT environments;
  • validating Vendor credentials, insurance, and compliance;
  • conducting independent due diligence and risk assessments; and
  • implementing and verifying corrective actions.

12. Third-Party Services & Links

The Platform may reference, integrate, or link to third-party tools, marketplaces, payment processors (e.g., Paddle), or content. Cyblink does not control such third parties and disclaims responsibility for their acts, omissions, availability, security, or terms. Your use of third-party services is subject to their terms and privacy policies.

13. No Warranty

The Platform and all information, matches, listings, and materials are provided "as is" and "as available," without warranties of any kind—express, implied, or statutory—including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, or results.

14. Limitation of Liability

Cyblink will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages; for loss of profits, revenue, goodwill, data, or business; for loss of use, cost of cover, or computer time lost; or for business interruption, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Note: At your request, the prior aggregate liability cap has been removed.

15. Force Majeure

Cyblink is not liable for delay or failure caused by events beyond its reasonable control, including cyberattacks, outages, acts of God, war, terrorism, labor disputes, governmental actions, supply-chain failures, or Internet/hosting disruptions.

16. Indemnification

You agree to defend, indemnify, and hold harmless Cyblink and its officers, directors, employees, and affiliates from and against claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your agreements or disputes with Vendors or Customers; (c) your breach of these Terms or applicable law; or (d) your data, instructions, or configurations.

17. No Professional Advice

Content on the Platform is for general informational and matchmaking purposes only and does not constitute legal, regulatory, risk, or professional security advice. Obtain qualified independent advice for your specific circumstances.

18. Dispute Handling Between Users

Cyblink may—but is not obligated to—facilitate communications. We do not adjudicate disputes, provide escrow, or enforce performance. All disputes must be resolved directly between Customer and Vendor.

19. Updates to Terms

We may update these Terms from time to time. Material changes will be posted on the Platform with an updated "Effective Date." Your continued use after the effective date constitutes acceptance of the updated Terms.
